1. PURPOSE

These Terms and Conditions define the framework for Partners to promote and sell Someli's Social Media Marketing services through www.someli.ai. This includes the Accelerate, Supercharge, and Boost 10X Corporate Plans.

2. PARTNER RESPONSIBILITIES

Utilize approved marketing materials and adhere to Someli's branding and messaging guidelines.Comply with all applicable laws, including consumer protection, advertising, and data privacy regulations.

Accurately provide customer information, including name, contact details, and purchased plans.

Promote and onboard customers worldwide, including in the United States.

3. PLANS AND PRICING

Offered Plans: Accelerate, Supercharge, and Boost 10X Corporate. Plan features may evolve, and changes will be communicated with reasonable notice.

Pricing:

Pricing is listed on www.someli.ai, with adjustments or new offers (e.g., limited-time lifetime plans) subject to prior notice.

Commission and PaymentCommission Rate:

Partners will earn a 25% recurring commission (ex-tax) on monthly and annual subscription payments made by their referred customers. Commissions will continue as long as the customer maintains an active subscription.

Minimum Payout:

A minimum of $300 in commission earnings is required for payout, with unpaid balances carried forward.

Payment Schedule:

Commissions are disbursed 30 days after subscription payments are received by Someli.

Payment Method:

Commissions are paid via PayPal. Partners must maintain an active PayPal account and update their account details in the affiliate dashboard to receive payments.

Refunds and Adjustments:

Refunds or chargebacks may result in proportional commission adjustments or forfeiture.

4. CONFIDENTIALITY

Partners must maintain confidentiality of any proprietary or sensitive information shared by Someli.

5. LIMITATION OF LIABILITY

Someli shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, goodwill, use, data, or other intangible losses.

Someli's total liability to the Partner under these Terms shall not exceed the total commissions paid to the Partner during the preceding 12 months.

The foregoing limitations shall apply to all claims, whether based on contract, tort (including negligence), strict liability, or any other theory of law.

6. TERMINATION

Either party may terminate these Terms with 14 days' written notice.

Upon termination, all outstanding eligible commissions, including recurring commissions earned prior to termination, will be settled.

7. GOVERNING LAW

These Terms are governed by the laws of the Dubai International Financial Center (DIFC). Disputes shall be resolved exclusively in DIFC courts.

8. ENTIRE UNDERSTANDING

These Terms and Conditions supersede all prior agreements or understandings between Someli and the Partner.
